Beta Terms
Summary terms for the invitation-only Kalc private beta. Full commercial Terms of Service will apply at launch.
1. Who we are, and what this is
Kalc (“Kalc”, “we”), established in Spain, invites you to use Kalc — software that analyses financial models built in Excel — as a private, invitation-only beta. This is not a public release.
These terms and the Privacy Notice apply from the moment you accept the invitation or first use the software, whichever is earlier.
2. What it costs
Nothing. The beta is free. We take no payment card, nothing renews, and there is nothing for you to cancel.
3. How long it lasts
Access runs for 30 days from your first successful analysis — not from the day you accept, so onboarding delays do not eat into your time.
We may extend it in further 30-day periods where you have contributed to the programme (an exit interview, marking findings as accurate or incorrect, or reporting a fault we can reproduce). Any extension is offered in writing, is never automatic, and is never charged for. When the term ends, access ends — there is no charge and no card on file.
4. What the software does, and what it does not do
Kalc examines a spreadsheet you give it and reports what it finds: calculation errors, structural problems, assumptions it cannot trace, and suggestions for improvement. It does not build or edit your model — it reads; it does not write, and your file is returned unchanged.
Kalc is not a substitute for professional judgement. Its output is analytical input for you to weigh — it is not legal, financial, investment, tax, accounting or audit advice, and it does not certify a model as correct. Every decision made using Kalc’s output remains yours and your organisation’s.
5. Pre-release software
The beta is pre-release. It may contain errors, behave unexpectedly, change without notice, or be withdrawn. It is provided as it is, without warranty, and specifically without any promise that it will be uninterrupted, error-free, or that it will find every defect in a model. A model that Kalc reports no findings on is not thereby a correct model.
Please treat it as sitting alongside your own review, not replacing it.
6. Your files and your rights to them
You keep all rights in the models you upload. We process them only to produce your results, as described in the Privacy Notice.
You confirm that you are entitled to upload each file you upload — that it is yours, or that you have your client’s or employer’s permission. For anything sensitive, use Zero Retention, which deletes the file as soon as the analysis finishes. If a third party brings a claim against us because you uploaded something you were not entitled to, you will cover the reasonable costs we incur as a result.
7. Confidentiality
Please keep confidential the beta software, its installer, your API key, and any non-public information about features or roadmap. You may discuss your own experience privately with colleagues; public writing about Kalc during the beta needs our written agreement first — we will usually say yes.
Your models and results are confidential to you, and we treat them that way.
8. Feedback
We ask for honest feedback within 14 days of your first analysis. You give us permission to use it to improve the product, without payment or attribution. We will not quote you publicly or name you as a user unless you separately agree.
9. Our software stays ours
All intellectual property in Kalc — the software, the analysis methods, the templates and the structure of its outputs — remains ours. These terms permit you to use it during the beta and nothing more. Please do not copy it, take it apart, or use it to build a competing product.
10. Responsibility
Because the beta is free and pre-release, we are not liable for loss of profit, business, opportunity or data, or for any indirect or consequential loss. Our total liability to you in connection with the beta is limited to €500.
Nothing here limits liability that Spanish law does not permit us to limit, including for death or personal injury, fraud, wilful misconduct or gross negligence.
11. Ending it
You may leave at any time — just tell us. We may end your participation at any time, with notice where practical, and immediately if clause 7 is breached. Clauses 4, 6, 7, 8, 9 and 10 continue to apply afterwards.
12. Law
These terms are governed by Spanish law, and disputes go to the courts of Spain. If you are acting as a consumer rather than in the course of a business, this does not remove any mandatory consumer rights you have under Spanish or EU law.
